Keretapi Tanah Melayu Berhad (KTMB) or Malayan Railways Limited is the main rail operator in Peninsular Malaysia. The railway system dates back to the British colonial era, when it was first built to transport tin. Previously known as the Federated Malay States Railways (FMSR) and the Malayan Railway Administration (MRA), Keretapi Tanah Melayu acquired its current name in 1962.

1. HEAD OF LEGAL AND SECRETARIAL UNIT (CONTRACT BASIS)


Job Responsibilities:


� To act as in-house counsel supporting the analysis and resolution of all legal matters
and working closely with Management & internal cross functional business teams (e.g.
Strategic Business Units, Finance, Information Technology, Procurement, Talent
Management and Organisation Development);

� To provide in-house company secretarial services in managing and administering
secretarial practices and corporate secretarial requirements in accordance with the
applicable legislation and regulations;

� Organize, coordinate and attend Board/Committee/Shareholders� Meetings for KTMB,
record proceedings of such meetings and draft minutes accordingly;

� Preparation of board papers, circular resolutions, minutes of meetings and statutory
documents;

� To ensure that all the deadlines are met and all relevant sections of the Companies
Act and related regulations are compiled with;

� To maintain statutory books, registers and secretarial records of KTMB and custody of
the Common Seal;

� To attend to daily routine corporate secretarial matters, administrative and
coordination duties as directed form time to time as well as other ad-hoc assignments
as and when required;

� To advise on all pre-contract and post-contract issues;

� To structure, draft, review and negotiate contracts;

� To assist in the resolution of commercial and contract related issues/disputes; and

� To conduct research and advise on corporate, finance, and commercial contracts.
